These Terms and Conditions govern the sale and delivery of services by Green Orbit Digital Ltd, registered at DOCK - Space City, 75 Exploration Drive, Leicester LE4 5NU, United Kingdom. 1. Formation of Contract

A contract will only be formed once full payment has been received and a confirmation email of acceptance has been sent by us. Payment represents an offer to purchase services, which we may accept at our discretion.

2. Order Acknowledgement

You will receive an order confirmation via email. This correspondence does not constitute formal acceptance of your order.

3. Ownership of Rights

All intellectual property rights in the content, materials, and services provided are owned by or licensed to Green Orbit Digital Ltd. Reproduction, redistribution, or modification without express written permission is prohibited.

4. Accuracy of Content

We take reasonable steps to ensure that all service descriptions and pricing information are accurate at the time of publication.

5. Digital Security

While we take precautions, we cannot guarantee that our website will be uninterrupted or free from viruses. You are responsible for ensuring adequate IT protection.

6. Availability of Services

Services will be delivered within the agreed timeframe, but time shall not be of the essence unless expressly agreed in writing.

7. Ordering Errors

You may correct any errors in your order prior to final submission and payment.

8. Pricing

All prices are inclusive of VAT (where applicable) and correct at the time of entry unless otherwise stated.

9. Payment Terms

Full payment is required upfront unless otherwise agreed. We reserve the right to withhold services for incomplete or failed payments.

10. Cancellation Rights (Consumer Only)

If you are a consumer, you may cancel within 14 calendar days of entering the contract under The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, except where:

• You have requested the services begin within the cancellation period;
• The services are fully performed within that period; or
• Exemptions apply (e.g., digital downloads, bespoke services).

Refunds for partial performance will be calculated on a pro-rata basis.

11. Service-Specific Terms

11.1 Workshops

• Booking is confirmed only upon receipt of full payment or agreed deposit.
• Cancellations made more than 14 days before the event are eligible for a full refund.
• Cancellations within 14 days may incur a 50% fee.
• If a workshop is postponed by Green Orbit Digital, you may request a refund or transfer.

11.2 Audits

• Audits (e.g., SEO, Sustainability, or Digital Performance) are scoped in advance and agreed by quote.
• Deliverables are typically provided digitally (PDF or online format).
• Revisions beyond the agreed scope are subject to additional fees.

11.3 Retainers

• Retainers are billed monthly in advance with a 3-month minimum term unless stated otherwise.
• Termination requires 30 days’ written notice.
• Unused hours cannot be rolled over without prior agreement.
• A Service Level Agreement (SLA) may define response times and deliverables.

11.4 Toolkits and Digital Products

• Toolkits and templates are licensed for single-organisation use unless otherwise licensed.
• Due to their digital nature, toolkits are non-refundable once accessed or downloaded.
• Redistribution or resale without written consent is prohibited.

11.5 Subscriptions

• Subscriptions (e.g., for digital tools or premium resources) are billed monthly or annually.
• You may cancel at any time; access remains active until the end of the billing cycle.
• No partial refunds are issued for early cancellations.
• Subscription features may change or be withdrawn at any time.

12. Cancellation by Us

We reserve the right to cancel an order if we cannot fulfil it due to capacity, location, or pricing errors. In such cases, a full refund will be issued within 14 days.

13. Service Issues

If you experience issues with our services, please contact support@greenorbit.space. We are obligated to supply services in line with the Consumer Rights Act 2015.

14. Liability

We are not liable for indirect or consequential losses, including business interruption, data loss, or loss of revenue. This does not affect your statutory rights or our liability for personal injury caused by negligence.

17. Governing Law and Jurisdiction

These terms are governed by English law. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force.

19. Privacy

Use of our services is governed by our Privacy Policy and GDPR commitments.

20. Third-Party Rights

Nothing in these terms confers rights on third parties under the Contracts (Rights of Third Parties) Act 1999.

21. Alternative Dispute Resolution

We support independent alternative dispute resolution (ADR) as an option before legal action is taken.
